1. ABOUT YOUR CARD
Your Card is a prepaid card, which allows you to access funds loaded to your Card account. You should treat your Card with the same care as you would treat cash. We encourage you to sign your Card when you receive it. This Card is intended for personal, family, or household use and not intended for business purposes. Your Card account does not constitute a checking or savings account and is not connected in any way to any other account you may have. The Card is not a gift card, nor is it intended to be used for gifting purposes. The Card is not a credit card. You will not receive any interest on the funds in your Card account. To open an account, you consent to receive communication from us in electronic form. We may close your Card or refuse to process any transaction that we believe may violate the terms of this Agreement or represents illegal or fraudulent activity. You are responsible for notifying us immediately upon any change to your address, phone number, or email address. If your address changes to a non-US address, we may cancel your Card and return funds to you in accordance with this Agreement. The Primary Cardholder may request to add up to three additional persons that are members of the Primary Cardholder’s family or household to receive a card (a “Secondary Card”) to use the Card account (each “Secondary Cardholder”). A Secondary Cardholder will have full access to any funds the Primary Cardholder transfers to the associated Secondary Card. The Primary Cardholder is eligible for FDIC pass-through deposit insurance if they meet certain requirements. The accounts are eligible only to the extent pass-through insurance is permitted by the rules and regulations of the FDIC, and if the requirements for pass-through insurance are satisfied. The FDIC insurance applies up to 250,000 USD per depositor, per financial institution, for deposits held in the same ownership capacity.
We may limit the number, type or dollar amount of transactions you may make to your Card account or suspend the use of or terminate your Card account. For security reasons, you can locate limits that apply to your Card after you log in to myWisely.com for information regarding limits on loads and other transactions.
2. VERIFYING YOU
Important information for opening a Card account: To help the federal government fight the funding of terrorism and money laundering activities, the USA PATRIOT Act requires all financial institutions and their third parties to obtain, verify, and record information that identifies each person who opens a Card.
What this means for you: You represent and warrant to us that the personal information provided to us is true, correct and complete. You agree we may ask for, or the Company may provide us with, your name, street address, date of birth, and other information that will allow us to identify you. We may also ask to see a copy of a driver's license or other documents or utilize account information services at any time. You may be limited in use and features until your identity has been successfully verified.
3. USING YOUR CARD
a. Accessing and Loading Funds. Each time you use your Card, you authorize us to reduce the value available on your Card by the amount of the transaction and applicable fees. We shall have no liability whatsoever if you fail to provide the correct information for an Automated Clearing House ("ACH") transfer or other transaction. If you use your Card number or card equivalent without presenting your Card (such as for an internet transaction, a mail order or a telephone purchase), the legal effect will be the same as if you used the Card itself. You may use your Card to purchase or lease goods or services wherever your Card is honored as long as you do not exceed the value available in your Card account (not including any amount in a savings envelope, if applicable).
Your Card can also be used to:
(1) withdraw cash from your Card account;
(2) load funds to your Card account;
(3) transfer funds between your Card accounts whenever you request; and
(4) pay bills directly from your Card account.
b. Prohibited Use and Negative Balance. You CANNOT use your Card to: (i) exchange your Card for its cash value; (ii) conduct any illegal transactions; (iii) use the bank routing number and account number to make a debit transaction with any item processed as a check (these debits will be declined and your payment will not be processed); or (iv) make business-related transactions. In addition, YOU ARE NOT PERMITTED TO EXCEED THE AVAILABLE AMOUNT IN YOUR CARD ACCOUNT THROUGH AN INDIVIDUAL TRANSACTION OR A SERIES OF TRANSACTIONS. Nevertheless, if a transaction exceeds the balance of the funds available in your Card account, you will remain fully liable to us for the amount of the transaction and agree to pay us promptly for the negative balance. If your Card has a negative balance, you grant us the right to automatically debit any current or future deposit or balance on this or another Card you have with us (whether issued or activated), including any Secondary Card or savings envelope(s), to offset a negative balance on this Card.
In addition to other rights under this Agreement, in the event of a negative balance in the account related to the Primary Cardholder or Secondary Card (or savings envelopes, if any), you: (1) authorize Company or us to withhold the amount of the negative balance (whether caused by the Primary Cardholder or a Secondary Cardholder) from future compensation whether related to the Primary Cardholder or Secondary Cardholder Card in accordance with applicable law or regulation; (2) agree that we may request that the Company so withhold the amount of the negative balance from your future compensation and pay such withheld amount(s) to us to offset your negative balance (whether caused by the Primary cardholder or a Secondary Cardholder); (3) consent to disclosure by us to the Company of the amount and circumstances of any such negative balance (whether caused by the Primary Cardholder or a Secondary Cardholder); and (4) consent to disclosure by us to the Company and to any other persons of the suspension or termination of your Card account and of this Agreement.
c. Loading the Card account. The Company may add funds to your Card, called "loading," by ACH loads (e.g., direct deposit). You may also add funds to your Card through: (i) ACH loads from other parties; (ii) loading cash through participating retailers; (iii) transferring check funds through Ingo Money or (iv) direct deposit. You may be required to pass additional identification verification process in or to use these loading features. See the Limits table after you log into mywisely.com for limitations on amount and frequency for different load methods. Each load may be subject to a fee as set out in the List of All Fees. If you arrange to have funds transferred directly to your Card from a third party through an ACH load, you must enroll with the third party by providing the bank routing number and direct deposit account number that we provide you. You agree we may make inquiries we consider appropriate to help determine the source of funds you load to your Card. Fifth Third Bank, National Association is not responsible for any wages or funds that are not received by Bank in the account. All ACH credits will be loaded to the Primary Card. The Primary Cardholder may then transfer funds to a Secondary Card. If you have questions about this requirement, please call Customer Service.
d. Split Transactions. If you do not have enough funds available in your Card account, you may be able to instruct the merchant to charge a part of the purchase to the Card and pay the remaining amount with another form of payment. These are called "split transactions". Some merchants may not allow cardholders to split transactions.
e. International Transactions. If you conduct a transaction in a currency other than U.S. dollars or outside the Domestic Area (as defined in the List of All Fees) ("International Transaction"), the amount deducted from your funds will be converted (if applicable) by the network or card association that processes the transaction into an amount in U.S. Dollars. The rate they choose is either: (i) selected from the range of rates available in wholesale currency markets (which may vary from the rate the association itself receives), or (ii) the government-mandated rate in effect for the applicable central processing date. The conversion rate selected by the network is independent of any additional fee we may charge for International Transactions – see List of All Fees. If the International Transaction results in a credit due to a return, we will not refund any fee that may have been charged on your original purchase.
f. Third Party Fees. Third parties may charge fees not listed on the List of All Fees which will be deducted from your Card balance. Such fees should be disclosed in advance of your completing the transaction.
g. Secondary Cards. We will make any inquiries of the prospective Secondary Cardholder that we consider appropriate to help determine whether we should issue a Secondary Card. This may include, but is not limited to, verification of identity through documents or account information services. Secondary Cards may only be issued to persons in the United States with a valid Social Security number or tax identification number. After activation, a Secondary Card may be used by a Secondary Cardholder to make purchases or withdrawals subject to the available balance on the Secondary Cardholder's Card. Each Primary Cardholder and Secondary Cardholder will have access to any available funds on the Secondary Cardholder’s Card. The Primary Cardholder and any Secondary Cardholders each agree to be bound by all instructions and requests made or purported to be made by any of them. Use of Secondary Cards is subject to the same fees (for services and features available to Secondary Cardholders) and restrictions as your Primary Card, and we may hold you and/or any Secondary Cardholders liable for misuse of the Secondary Cards.
The Primary Cardholder's access to use the available balance on the Secondary Cardholder's Card is limited to transferring funds to and from such Secondary Card. The Primary Cardholder also can call or access the services online on behalf of the Secondary Cardholder. Secondary Cardholder is not authorized to fund the Secondary Card – funds only come from Primary Cardholder. Secondary Cardholder has NO access to Primary Cardholder funds; however, when the account number and routing and transit number are used to complete the transaction, the purchase is completed through the Primary Cardholder's Prepaid Card only and will be authorized if there are sufficient available funds on the Primary Cardholder's Prepaid Card. If you provide the account number and routing and transit number to Secondary Cardholders, you, as the Primary Cardholder, will be deemed to have approved and are responsible for transactions made in that manner. Secondary Cardholders could have access to customer service, mywisely.com or the myWisely app and the services provided thereunder, but not all services and features available to Primary Cardholders are available to Secondary Cardholders. A Secondary Cardholder’s Card may be terminated at the request of the Primary Cardholder at any time, provided that we are given a reasonable opportunity to act on such request and any available balance on the Secondary Cardholder's Card will be transferred to the Primary Cardholder's account without notice to any impacted Secondary Cardholder. The cancellation or termination of the Primary Card account will automatically result in termination of the Secondary Cardholder Card and any available balance on such Card will be sent or otherwise provided only to the Primary Cardholder.
All communications to be sent or given in accordance with this Agreement will be communicated to the Primary Cardholder only. The Primary Cardholder is responsible for sharing all communications from us with the Secondary Cardholders. All communications sent or given to the Primary Cardholder are deemed to be given to both the Primary Cardholder and the Secondary Cardholders.
4. TRANSACTIONS AND PREAUTHORIZED TRANSFERS
a. Right to stop payment and procedure for doing so. If you have told us in advance to make regular payments out of your Card account, you can stop any of these payments. Call or write to Customer Service with the contact information located at the beginning of this Agreement in time for us to receive your request three business days or more before the payment is scheduled to be made. If you call, we may also require you to put your request in writing and get it to us within 14 days after you call. You should also contact the merchant to request these payments to stop.
b. Notice of varying amounts. If these regular payments vary in amount, the person you are paying should tell you, at least 10 days before each payment, when it will be made and how much it will be.
c. Liability for failure to stop payment of preauthorized transfer. If you order us to stop one of these payments three business days or more before the transfer is scheduled, and we do not do so, we will be liable for your losses or damages.
d. Our liability for failure to complete transactions. If we do not complete a transaction to or from your Card account on time or in the correct amount according to our Agreement with you, we will be liable for your direct damages and losses proximately caused by us. However, there are some exceptions. We will not be liable, for instance:
(1) If, through no fault of ours, you do not have enough funds available in your Card account to complete the transaction;
(2) If a merchant refuses to accept your Card;
(3) If an ATM where you are making a cash withdrawal does not have enough cash;
(4) If an electronic terminal where you are making a transaction does not operate properly and you knew about the problem when you initiated the transaction;
(5) If access to your Card has been blocked after you reported your Card or PIN lost or stolen;
(6) If there is a hold or your funds are subject to legal process or other encumbrance restricting their use;
(7) If we have reason to believe the requested transaction is unauthorized.
(8) If circumstances beyond our control (such as fire, flood or computer or communication failure) prevent the completion of the transaction, despite reasonable precautions that we have taken; or
(9) If we credit funds to your Card account in error or in connection with an illegitimate transaction (whether issued and activated at the time of such transaction or issued to and activated by you in the future)
a. you are not entitled to such funds and you authorize us to Initiate debits to any of your Card accounts for the amount of the funds previously credited to your Card account, including debiting any future fund loads from any of your Card accounts if your Card account does not have sufficient funds to debit the entire amount.
b. on behalf of the Company, you authorize the Company to initiate debits to any of your Card accounts for the amount of such funds credited to your Card account, except as may be prohibited by law or agreements to which we or the Company are a party.
(10) If you have not passed the identity verification process required to complete such transaction.
(11) For any other exception stated in our Agreement with you.
e. ATM Fees. When you use an ATM not owned by us or outside the limits specified, you may be charged a fee by the ATM operator (and you may be charged a fee for a balance inquiry even if you do not complete a fund transfer).
f. Preauthorized Credits. If you have arranged to have direct deposits made to your account at least once every 60 days from the same person or company, the person or company making the deposit should tell you every time they send us the money. You can confirm whether or not the deposit has been made through myWisely or by calling Customer Service.
g. Authorization Holds. With certain types of purchases (such as those made at restaurants, hotels, or similar purchases), your Card may be "preauthorized" for an amount greater than the transaction amount to cover gratuity or incidental expenses. Any preauthorization amount will place a "hold" on your available funds until the merchant sends us the final payment amount of your purchase which could take up to thirty (30) days. Once the final payment amount is received, the preauthorization amount on hold will be removed. During this time, you will not have access to preauthorized amounts. If you authorize a transaction and then fail to make a purchase of that item as planned, the approval may result in a hold for that amount of funds.
5. UNAUTHORIZED TRANSACTIONS
a. Contact in Event of Unauthorized Transfer. If you believe (1) your Card has been lost or stolen, or (2) an electronic fund transfer has been made without your permission, call or write Customer Service IMMEDIATELY at the contact information found at the beginning of this Agreement or at the phone number on the back of your card. Calling Customer Service is the best way of keeping your possible losses down. You could lose all the money in your account. We may close the Card account and transfer any balance you have to a new account in an attempt to prevent further losses.
b. Your Liability for Unauthorized Transactions. If you tell us within 2 business days after you learn of the loss or theft of your Card or PIN (defined below), you can lose no more than $50 if someone used your Card or PIN without your permission. If you do NOT tell us within 2 business days after you learn of the loss or theft of your Card, and we can prove we could have stopped someone from using your Card without your permission if you had told us, you could lose as much as $500.
If you do not tell us within 60 days after the earlier of the date you electronically accessed your account (if the unauthorized transfer could be viewed in your electronic transaction history), or the date we sent the FIRST written history on which the unauthorized transfer appeared, you may not get back any money you lost after the 60 days if we can prove that we could have stopped someone from taking the money if you had told us in time. If a good reason (such as a long trip or a hospital stay) kept you from telling us, we will extend the time periods.
Unless otherwise provided by law, our liability to you is limited to reimbursement for the face amount of any unauthorized transaction subject to the terms and conditions set forth in this Agreement. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, AND UNLESS AND EXCEPT AS OTHERWISE EXPRESSLY PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY CLAIMS OF SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING IN ANY MANNER TO THIS AGREEMENT OR YOUR CARD.
c. Liabilities not affected by Disputes of Cardholders. All obligations of the Primary Cardholder and Secondary Cardholders under this Agreement to us shall not be affected by any dispute or counterclaim or right of set-off which the Primary or Secondary Cardholders may have against each other.
d. Your Card may have some additional protections against unauthorized use:
Under Mastercard's Zero Liability Policy, your liability for unauthorized transactions on your Mastercard-branded Card is $0.00 if you notify us promptly upon becoming aware of the loss or theft, and you exercised reasonable care in safeguarding your Card from loss, theft, or unauthorized use. This policy limiting your liability does not apply to debit transactions not processed by Mastercard, certain commercial transactions, or unregistered cards.
Visa Zero Liability policy covers U.S.-issued Visa-branded Cards only and does not apply to ATM transactions, PIN transactions not processed by Visa, certain commercial card transactions, or unregistered cards. You must notify us promptly of any unauthorized use. For additional details visit www.visa.com/security.
6. ERROR RESOLUTION PROCEDURES
In Case of Errors or Questions about Your Card account: Call or write Customer Service at the Phone Number or Address mentioned above as soon as you can if you think an error has occurred in your Card account. We must allow you to report an error until 60 days after the earlier of the date you electronically access your account, if the error could be viewed in your electronic history, or the date we sent the FIRST written history on which the error appeared. In any case, we may limit our investigation of any alleged error that you do not report to us within 120 days of the posted transaction. You may request a written history of your transactions at any time by calling or writing Customer Service. You will need to tell us:
(1) Your name and Card account or Card number.
(2) Why you believe there is an error, and the dollar amount involved.
(3) Approximately when the error took place.
If you tell us orally, we will require that you send us your complaint or question in writing within 10 business days. We will determine whether an error occurred within 10 business days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to 45 days to investigate your complaint or question. If we decide to do this, we will provisionally credit your account within 10 business days for the amount you think is in error, so that you will have the money during the time it takes us to complete our investigation. If we ask you to put your complaint or question in writing and we do not receive it within 10 business days, we may not credit your account.
For errors involving new accounts, point-of-sale, or international-initiated transactions, we may take up to 90 days to investigate your complaint or question. For new accounts, we may take up to 20 business days to credit your account for the amount you think is in error.

If you believe that anyone has gained unauthorized access to your PIN, you should contact Customer Service immediately.

If you are entitled to a refund for any reason for goods or services obtained with your Card, you agree to accept credits to your account. If the merchant credits your Card, the credit may not be immediately available. While merchant refunds post as soon as they are received, please note that we have no control over when a merchant sends a credit transaction and the refund may not be available for a number of days after the date the refund transaction occurs.
c. Company Disputes. If you have a dispute with the Company about the amount of your wages, consulting fees, commissions, benefit payments or other similar payments, or the amount that we, on behalf of the Company, allocate to or deduct from your Card account, you agree not to involve us and to resolve the dispute directly with the Company.
d. Card Replacement and Expiration. If you need to replace your Card for any reason, please contact Customer Service. See List of All Fees for applicable fees. Please note that your Card has a "Valid Thru" or "Good Thru" date on your Card. You may not use the Card after the "Valid Thru" or "Good Thru" date on your Card. However, even if the "Valid Thru" or "Good Thru" date has passed, the available funds on your Card do not expire. You will not be charged a fee for replacement cards that we send due to expiration of the Card.
e. Authorized Users. If you allow another person to use the Card, you will be deemed to have authorized such use and be responsible under this Agreement for all transactions made by that person, regardless of whether you intended to be responsible for all of them, as well as all associated fees and charges, even if any of those transactions, fees or charges caused your balance to go negative.
f. Communications. You agree that we may monitor and record any calls or other communications between us and you. You also agree that we or our service providers may contact you with any contact information you provide to us, including cellular and wireless phone numbers, landline numbers, and email addresses. We and our affiliates neither guarantee the delivery nor the accuracy of the contents of any message. We and our affiliates will not be liable for losses or damages arising from (a) non-delivery, delayed delivery or misdelivery of a message; (b) inaccurate content in an message; or (c) your use or reliance on the content of any message for any purchases or any other reason.
g. Business Days. For purposes of this Agreement, our business days are Monday through Friday, excluding Federal holidays. Customer Service hours may differ.
h. English Language Controls. Translations of this Agreement that may have been provided are for your convenience only and may not accurately reflect the original English meaning. The meanings of terms, conditions, and representations herein are subject to definitions and interpretations in the English language.
i. Account Closure. You may close your Card at any time by contacting Customer Service. Your request for Card closure will not affect any of our rights or your obligations arising under this Agreement prior to the request. Should your Card account be closed, we will issue you a credit to another Card account or a check for any remaining available balances, subject to fees as disclosed in the List of All Fees. We reserve the right to close your Card account should you complete or attempt to complete any of the prohibited actions in this Agreement.
j. Assignability. You may not assign or transfer your Card or your obligations under this Agreement. We may, however, transfer or assign our rights under this Agreement, including any balances in your Card account. If we assign our rights, you will get a notification from us.
k. Legal Process. Regardless of where or how we are served, we will comply with any state or federal legal process, including, without limitation, any writ of attachment, adverse claim, execution, garnishment, tax levy, restraining order, subpoena or warrant we believe to be valid relating to you or your Card. You agree that we will honor legal process that is served personally, by mail, or by facsimile transmission at any of our offices (including locations other than where the funds, records or property sought is held), even if the law requires personal delivery at the office where your Card account records are maintained. You agree that we will have no liability to you for honoring any such legal process. You also agree that we will have no obligation to assert on your behalf any applicable exemptions to execution or attachment under any applicable state or federal law. We will enforce a right of security interest against any of your Card accounts in order to reimburse us for our fees and expenses, including attorneys' fees, court costs and expenses, in complying with legal process. We may refuse to permit withdrawals or transfers from your account until such legal process is satisfied or dismissed, even if such action results in insufficient funds to satisfy an obligation you may have incurred. We may deduct such expenses from your Card account or any other account you may have with us without prior notice to you, or we may bill you directly for such expenses and fees. You agree to release and indemnify, defend and hold us harmless from all actions, claims, liabilities, losses, costs and damages including, without limitation, attorneys' fees, associated with our compliance with any legal process. When we receive an order instructing us to restrict access to funds in a Card account, we may remove the funds from the account and maintain them separately.
l. Change in Terms. We may at any time change the terms and conditions in this Agreement, including fees. You will be notified of changes to this Agreement as required by applicable law prior to the effective date of the change. However, if the change is made for security purposes, we can implement such change without prior notice.
m. No Waiver. We do not waive our rights by delaying or failing to exercise them at any time (for example, assessing a fee less than described, or not all, for any reason does not waive our right to begin charging the fee as set forth in this Agreement without notice).
n. Governing Law. This Agreement will be governed by Federal law and the rules and regulations applicable to national banks govern this Agreement. To the extent federal law is not applicable, the law of the state of Illinois shall govern. If any provision of this Agreement is determined to be invalid or unenforceable under any rule, law, or regulation of any governmental agency, local, state, or federal, such provision will be deemed to be modified to the extent necessary to comply with such law or regulation and the validity or enforceability of any other provision of this Agreement will not be affected and will be interpreted to achieve our original intent.
o. Unclaimed Property. Should your Card have a remaining balance after a certain period of inactivity, we may be required to remit the remaining funds to the appropriate state agency as unclaimed property.
p. Notice. To the extent applicable, you consent to receive disclosures and notices in electronic form in connection with the Program and your Card. Any notice from us to you shall be deemed to have been given when mailed, actually delivered to you at your notice address or electronically disclosed. Your notice address shall be the address you or the Company provided when you applied for your Card unless you have notified us of a substitute notice address or we have otherwise obtained a more recent address for you for our records. However, it is your responsibility to ensure that we have a current address for you in our records and you must tell us when you change your address. Notices to us must be sent to us at the notice address set forth below for errors or questions about your transactions.
10. JURY TRIAL WAIVER
YOU AND WE ACKNOWLEDGE THAT THE RIGHT TO TRIAL BY JURY IS A CONSTITUTIONAL RIGHT BUT MAY BE WAIVED IN CERTAIN CIRCUMSTANCES. TO THE EXTENT PERMITTED BY LAW, YOU AND WE KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO TRIAL BY JURY IN THE EVENT OF LITIGATION ARISING OUT OF OR RELATED TO THIS AGREEMENT. THIS JURY TRIAL WAIVER WILL NOT AFFECT OR BE INTERPRETED AS MODIFYING IN ANY FASHION THE ARBITRATION CLAUSE SET FORTH IN THE FOLLOWING SECTION, WHICH CONTAINS ITS OWN JURY TRIAL WAIVER.
11. ARBITRATION. Please read this Arbitration Provision carefully. It affects your rights and will have a substantial impact on how legal claims you and we have against each other are resolved.
Summary. Most customer concerns can be resolved quickly and to the customer’s satisfaction by calling us at 866-313-6901. In the unlikely event that we are unable to resolve any dispute after following the procedures set forth in this provision, you and we each agree to resolve disputes on an individual basis through binding arbitration or small claims court instead of in courts of general jurisdiction. Arbitration is a form of private dispute resolution in which parties to a contract agree to submit their disputes and potential disputes to a neutral third person for a binding decision, instead of having such dispute(s) decided in a lawsuit, in court, by a judge or jury trial. Arbitration is more informal than a lawsuit in court, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can generally award the same damages and relief on an individual basis as a court. Any arbitration will take place on an individual basis; class arbitrations, class actions, private attorney general actions, and non-individualized injunctive relief are not permitted. By agreeing to arbitrate, both parties are waiving the right to a trial by jury or before a judge and are waiving the right to a class or other representative action in court. YOU HAVE A RIGHT TO OPT OUT OF THIS ARBITRATION PROVISION AS DISCUSSED BELOW.
Special Definitions. For purposes of this Arbitration Provision only, references to “you,” “your,” “we,” “our,” and “us” in this arbitration provision include each party’s respective parent companies, subsidiaries, affiliates, agents, employees, officers, directors, predecessors in interest, successors, assigns, and estates as well as all authorized or unauthorized account owners, cardholders, custodians, users, trustees, or beneficiaries of accounts under this agreement or any prior agreements between you and us, as applicable.
Claims Subject to Arbitration. We and you agree to arbitrate all disputes, suits, actions, causes of action, and/ or claims between us (“Claims”). This arbitration provision is intended to be broadly interpreted. Claims include, but are not limited to:
• Claims arising out of or relating to your account(s), this agreement, any other agreement related to your accounts, or any transactions arising thereunder, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory;
• Claims that arose before the effective date of this agreement or any predecessor agreement (including, but not limited to, claims relating to advertising, promotions, or disclosures);
• Claims that are currently the subject of putative class action litigation in which you are not a member of a certified class; and
Claims that may arise after the termination of this agreement.
This agreement evidences a transaction in interstate commerce, and thus the Federal Arbitration Act (the “FAA”), 9 U.S.C. § 1, et seq., governs the interpretation and enforcement of this Arbitration Provision. This Arbitration Provision will survive the closing of your account and/or the termination of this agreement.
Availability of Small Claims Court and Government Agencies. In lieu of arbitration of a Claim, either you or we may bring the Claim in an individual action in a small claims court with jurisdiction. If the small claims court action is removed or appealed to a court of general jurisdiction, you and we agree that the Claim shall be resolved in binding arbitration in accordance with this Arbitration Provision. This Arbitration Provision does not preclude you from bringing issues to the attention of federal, state, or local agencies. Such agencies can, if the law allows, seek relief against us on your behalf.
Pre-Arbitration Notice of Disputes. A party who intends to pursue a Claim must first send to the other a notice of dispute (a “Notice of Dispute”). Any Notice of Dispute sent to us should be addressed to: Wisely® Pay, c/o Wisely, P.O. Box 9008, San Dimas, CA 91773, Attention: Arbitration Unit (“Notice Address”). Any Notice of Dispute that we send to you will be sent to the address in our records that is associated with your account at the time the Notice of Dispute is sent. The Notice of Dispute must: (a) provide your name, address, telephone number, and account number; (b) describe the nature and basis of the Claim; and (c) set forth the specific monetary and/or nonmonetary relief sought. If we do not reach an agreement to resolve the Claim described in the Notice of Dispute within forty-five (45) days after the Notice of Dispute is received, you or we may commence an arbitration proceeding. If you or we attempt to commence arbitration proceedings before providing the requisite Notice of Dispute, the AAA shall not commence administration of arbitration proceedings for at least forty-five (45) days after the AAA informs the responding party of the request to initiate arbitration. Neither you nor we will disclose to the arbitrator the existence, amount, or terms of any settlement offers made by either party until after the arbitrator issues a final award resolving the Claim.
Arbitration Procedures. The arbitration will be administered by the AAA under its Consumer Arbitration Rules (“AAA Rules”), as modified by this Arbitration Provision. The AAA Rules are available online at www.adr.org. In the event that the AAA is unavailable to administer an arbitration, the arbitration will be administered by such other arbitration provider that the parties may select or, if the parties cannot agree, by an arbitration provider selected by the court. This Arbitration Provision governs in the event it conflicts with the applicable AAA arbitration rules. After complying with the Notice of Dispute procedure described above, either you or we may commence arbitration by sending a Demand for Arbitration to the AAA and a copy to the other party. Demands for Arbitration sent to us should be mailed to the Notice Address. A form Demand for Arbitration and filing instructions are available on the AAA’s website at www.adr.org. A single, neutral arbitrator will decide the substance of all Claims and will be a lawyer with at least five years of arbitration experience or a retired or former judge, selected in accordance with the applicable AAA rules. The arbitrator will take reasonable steps to protect customer account information and other confidential information if requested to do so by you or us. The arbitrator shall have the authority to award to a party any damages or other relief provided for under applicable law. Arbitrators will not be bound by rulings in prior arbitrations involving different customers. All issues are for the arbitrator to decide, except that issues relating to the arbitrability of claims or the scope, and enforceability of this arbitration provision. Unless both you and we agree otherwise, each party must bring all related or similar individual Claims in a single arbitration proceeding. If you or we later initiate a subsequent arbitration asserting Claims that are related or similar to ones that were raised by such party in a prior arbitration, the AAA or the arbitrator will: (i) consolidate the subsequent arbitration with the earlier proceeding if it is ongoing or (ii) dismiss the subsequent arbitration if it raises claims that would be barred by applicable law if brought in court.
The type of hearing will be determined by the AAA Rules. You and we may be represented by counsel. Any in-person arbitration hearing will take place within the federal judicial district where the address associated with your account as identified in our records at the time the arbitration is commenced is located or, if that location is inconvenient to you, at some other location that the parties agree is convenient. Upon the request of either party made prior to the closing of the hearing (or, if there is no oral hearing, prior to or along with submission of final documents to the AAA), the arbitrator will issue a reasoned written decision sufficient to explain the essential findings and conclusions on which any award is based.
Arbitration Costs. Payment of all filing, administration and arbitrator fees will be governed by the AAA Rules. You are required to pay AAA’s initial filing fee, but we will reimburse you for this filing fee at the conclusion of the arbitration to the extent it exceeds the fee for filing a complaint in a federal or state court in your county of residence. If the arbitrator finds that either the substance of your Claim or the relief sought in your Demand for Arbitration was frivolous or was brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules and we will not reimburse your initial filing fee. The parties agree that the AAA has discretion to modify the amount or timing of any administrative or arbitration fees due under the AAA Rules where it deems appropriate, provided that such modification does not increase the AAA fees to you or us, and you and we waive any objection to such fee modification.
Prohibition of Class and Representative Actions and Non-Individualized Relief. The arbitrator may award injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party’s individual claim; any injunctive relief must be individualized in nature and cannot affect other account holders. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, CONSOLIDATED PROCEEDING, OR AS A PRIVATE ATTORNEY GENERAL OR ON BEHALF OF THE GENERAL PUBLIC. Further, unless both you and we agree otherwise, or unless (and only to the extent that) your Claims are subject to the AAA’s Mass Arbitration Supplementary Rules, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. If a court decides that any part of this Arbitration Provision (other than this paragraph’s prohibitions of class or representative actions, non-individualized injunctive relief, and consolidation) is invalid or unenforceable, the other parts of this Arbitration Provision will still apply. However, if a court decides that this paragraph’s prohibitions of class or representative actions and consolidation is invalid or unenforceable as to a particular claim for relief (or request for a particular remedy), then that claim (or that request for that remedy) must be brought in court, with all other claims (and requests for other remedies) decided in arbitration. You cannot be a class representative, class member or otherwise participate in a class, representative, consolidated, or private attorney general action proceeding without having complied with the Opt-Out requirements directly below.
Opt Out Procedures. YOU CAN CHOOSE NOT TO AGREE TO THIS ARBITRATION PROVISION BY OPTING OUT OF ARBITRATION (“opt out”). You may opt out by writing to us at our Notice Address within thirty (30) days after the later of: (i) the date that we open your account; or (ii) the Effective Date of this agreement (the “Opt Out Deadline”). The written opt out notice must state that you do not agree to this Arbitration Provision and must be postmarked no later than the Opt Out Deadline. The opt out notice must include your name, address, and account number(s) to which the opt out applies. All owners of the account must sign the written opt out notice for it to be effective. Your decision to opt-out of this arbitration provision will have no adverse effect on your relationship with us and will have no effect on any other arbitration agreements that you may have with us. Any opt-out request received after the Opt-Out Deadline will not be valid and you must pursue your Claims in arbitration or small claims court. This is the only way you can opt out of this Arbitration Provision. If you opt out of this Arbitration Provision, all other parts of this agreement will continue to apply to your account(s).
Future Changes to the Arbitration Provision. Notwithstanding any provision in this agreement to the contrary, we agree that if we make any future change to this Arbitration Provision (other than a change to the Notice Address or telephone number provided herein), that change will not apply to any Claim of which we had written notice on the effective date of the change. If we remove the Arbitration Provision from this agreement, any such removal will not be effective until at least thirty (30) days after written notice of such removal is provided to you and shall not be effective as to Claims which arose prior to the date of removal.
Other Remedies. This Arbitration Provision and the exercise of any of the rights you and we have under it will not prohibit you or us from exercising any lawful rights either you or we have to use other remedies available to preserve, foreclose or obtain possession of real or personal property or exercise self-help remedies, including setoff rights as described in this agreement.

2. VERIFICÁNDOLO A USTED
3. USANDO SU TARJETA
a. Accediendo y Cargando Fondos.
(1) retirar efectivo de su cuenta de Tarjeta;
(2) cargar fondos a su cuenta de Tarjeta;
Además, NO SE LE PERMITE EXCEDER LA CANTIDAD DISPONIBLE EN SU CUENTA DE TARJETA A TRAVÉS DE UNA TRANSACCIÓN INDIVIDUAL O UNA SERIE DE TRANSACCIONES.
4. TRANSACCIONES Y TRANSFERENCIAS PREAUTORIZADAS
(1) Si, sin culpa nuestra, no tiene suficientes fondos disponibles en su cuenta de Tarjeta para completar la transacción;
(2) Si un comerciante se niega a aceptar su Tarjeta;
(3) Si un ATM donde está haciendo un retiro de efectivo no tiene suficiente efectivo;
(4) Si una terminal electrónica donde está haciendo una transacción no opera apropiadamente y usted sabía del problema cuando inició la transacción;
(5) Si el acceso a su Tarjeta ha sido bloqueado después de que reportó su Tarjeta o PIN perdido o robado;
(6) Si hay una retención o sus fondos están sujetos a proceso legal u otro gravamen que restringe su uso;
(7) Si tenemos razón para creer que la transacción solicitada no está autorizada;
5. TRANSACCIONES NO AUTORIZADAS

10. RENUNCIA AL JUICIO POR JURADO
USTED Y NOSOTROS RECONOCEMOS QUE EL DERECHO AL JUICIO POR JURADO ES UN DERECHO CONSTITUCIONAL PERO PUEDE SER RENUNCIADO EN CIERTAS CIRCUNSTANCIAS. EN LA MEDIDA PERMITIDA POR LA LEY, USTED Y NOSOTROS CONSCIENTEMENTE Y VOLUNTARIAMENTE RENUNCIAMOS A CUALQUIER DERECHO AL JUICIO POR JURADO EN EL EVENTO DE LITIGIO QUE SURJA DE O SE RELACIONE CON ESTE ACUERDO. ESTA RENUNCIA AL JUICIO POR JURADO NO AFECTARÁ O SERÁ INTERPRETADA COMO MODIFICANDO DE NINGUNA MANERA LA CLÁUSULA DE ARBITRAJE ESTABLECIDA EN LA SIGUIENTE SECCIÓN, QUE CONTIENE SU PROPIA RENUNCIA AL JUICIO POR JURADO.
11. ARBITRAJE.
Definiciones Especiales.
Reclamaciones Sujetas a Arbitraje.
• Reclamaciones que surjan de o se relacionen con su(s) cuenta(s), este acuerdo, cualquier otro acuerdo relacionado con sus cuentas, o cualquier transacción que surja de los mismos, ya sea basada en contrato, agravio, estatuto, fraude, tergiversación o cualquier otra teoría legal;
• Reclamaciones que surgieron antes de la fecha efectiva de este acuerdo o cualquier acuerdo predecesor (incluyendo, pero no limitado a, reclamaciones relacionadas con publicidad, promociones, o divulgaciones);
Procedimientos de Opt-Out. PUEDE ELEGIR NO ACORDAR A ESTA DISPOSICIÓN DE ARBITRAJE OPTANDO POR NO PARTICIPAR EN ARBITRAJE ("opt out").
